Problems Shutting down Windows XP

I am having problems shutting down XP event though when a
software is installed. What I am doing is CTRL-ALt-DEL to
disconnect the user and then Turn OFF the PC. While I do
that It stated that a program is running but there is none
than I am aware of.

Any idea, input or feedback it's greatly appreciate.
