PC Shuts Down During Boot Process

Hi,
My pc shuts down as soon as Windows starts loading. I
tried to boot up on safe mode or change the boot sequence
so it will load the win2k cd rom first (so I can reinstall
win2k), all to no avail. The pc is a Dell Optiplex GX
150, P4, 256 RM, 40 GB HD. I've gone to their site and
and tried to search the microsoft knowledge base but
haven't found anything that could help resolve my
problem. Any ideas which could help identify and resolve
my problem is greatly appreciated. Many thanks.

This could be a bad power supply. I've had this happen on a few systems.
Try hooking up a known good PS.

Did this PC work correctly in the past?
Will it boot from a DOS floppy, if you have one?
Did W2k ever install completely and run successfully on it?
Exactly what does "shuts down" mean?
Exactly what does "starts loading" mean?
The devil's in the details... :)
