See "Windows XP Restarts Unexpectedly or Restarts When You Shut Down
the Computer" (http://support.microsoft.com/?kbid=320299).

Have you ever seen it do it....

Is it an orderly shutdown or as if you pull the power........

how long is "a period of time..."

Can you leave the machine in the BIOS screen overnight as see what
happens.......

If it does it while in BIOS then time for a trip to the rapair shop.......

Make sure you lan card is not set to wake-up the machine.
If APM is on in the BIOS try turning it off, if it is off try turning ot on.

I had a similar problem with my Asus motherboard, I would shut down and the
machine would turn off for about 10 seconds then restart. Only problem is it
would happen intermittently.

Even though I thought I had turned of APM in the BIOS, it was actually on
(maybe reset after a BIOS flash), anyway I turned it off and it seems to
have fixed the problem.

Look at the Event Viewer if you get any clue.
In the mean time you can:-
Right click on My Computer, select Properties and then the Advanced tab.
Click on Settings under 'Startup and Recovery' and then uncheck
'Automatically restart'. Next time your PC tries to restart you should
see a Blue Screen with an error message.
