Outlook.exe will not shutdown

I can successfully shut down Outlook 2002. However when I
look at the processes in Task Manager, outlook.exe is
still there.

If I have started and shutdown Outlook twice, there will
be two Outlook.exe's in Task Manager processes. How do I
get rid of this annoying thing?

That's usually caused by an add-in that's holding Outlook open (such as
active synch). Check and see what add-ins you have running. Disable them
all and add enable them one at a time to figure out which one might be
causing it.
