"Open with" box keeps opening up for ALL media files please help.

Windows keeps opening "Open with" dialog box even though I assigned
media files to mplayer2 or media player 9. It's become very annoying.
Also, media files I've assigned don't stick. Please advise.

Task manager processes shows rundll32.exe when "open with" shows. It
is Unexpected Behavior since I keep telling windows what do to.
