ntoskrnl.exe missing or corrupt file

when i restart my comp i get a message saying "windows cannot start because a file is missing or corrupt" then it shows <windows root>\system32\ntoskrnl.exe. it then says to re-install a copy of the above file. I don't have a recovery cd, i've tried system restore, reboot in safe mode, last known good config etc and still keep getting same error. i downloaded the file to a cd from aother computer, but cant get it to download or install. i have a compaq presario 700 laptop.
I have been trying to fix this for 3 days and have read just about every troubleshooting guide at microsoft.com. any help/advice would be most appreciated

Forgive my stupidity. I have read through all that but I can't get to a cpmmand prompt or anything. Upon reboot, i've hit the f8 key and tried all the choices, but it returns to the same ntoskrnl.exe error. i have no recovery console (whatever thast is) or cd. how do i replace this file? thanks again
