"NTOSKRNL.EXE is missing or corrupt." keeps coming back

I installed Windows XP x64 edition recently after using XP 32-bit on
this AMD64 PC for 1 year. The x64 ed. runs OK right after the
installation. But it came up with "NTOSKRNL.EXE is missing or corrupt."
error after I finished setting up the drivers and basic office
software.
I googled on this error, found answers, made the changes, but it kept
coming back. I have boot.ini set up OK (dual boot to x64 and 32bit
XPs); NTDETECT.COM, ntldr are all there on C:/, and I didn't install a
previous OS after installing XP x64; extracted a fresh copy of
ntoskrnl.exe from installation CD to /system32 folder. My drivers are
from the latest downloads. Office 2003 SP2. I even install the system
from scratch (deleted windows, documents and settings, program files
folders) one more time and gets the same error after installing all
drivers.

My system is EPoX EP-9NDA3+ / AMD A64 3200+ / 1GB of RAM and it runs
Windows XP 32-bit, Windows 2000 fine.

Anything I can do to use the XP x64?

Is there a floppy drive on the pc with a disk in it?
