not bootable in any mode.

I have a laptop that is not bootable any more.
I have tried safe mode, safe mode command prompt and also last known good
configuration but it fails with blue screen.
I get Windows XP screen (try to boot) but after a minute or so it fails
STOP Error: C0000021a
Fatal system Error
Status 0xc0000034 ......
The session manager initialization system process Terminated unexpectdly.

Anyone have any idea before I conclude disk drive failure.

0xc000021a STOP error,where the ntoskrnl.exe or ntdll.dll files were not
replaced,

Boot to Recovery Console, check version, date and time of ntoskrnl.exe and
ntdll.dll. expand them from the SP2 install source, available in
%windir%\servicepackfiles folder
