New W2K File Server

I am hoping someone can help with a few questions I have
in regards to a new w2k server we will be installing.

My current server configs:

Server 1:
W2K Server
PDC, file server, dns server, running dhcp,
Active Directory relationship with Server 2

Server 2:
W2K Server
Web server (IIS5.1), Exchange 2000, Active Directory
relationship with Server 1

I have purchased a server that will replace Server 1.
Server 1 will still be on the network, but I plan on
migrating the web server to this box. Server 1 will no
longer be the dns server or the dhcp server. The new
server will take over this responsibility. Server 2 will
continue to be the exchange server and will need to still
have the active directory relationship with the new
server.

Now, my question(s).

Considering Server 1 is/was my PDC and a major part of
the active directory role and had, from what i
understand, some responsibilities because of active
directory with Exchange 2000. How would I migrate in a
new server to take the place of Server 1? How will a new
server effect the relationship with Server 2? I am also
wondering how a new PDC server will effect Exchange on
Server 2.

Back in the day of NT4 Server, I could add servers with
my eyes closed, but with the advent of W2K and Active
Directory its just not as cut and dry.

Any help on this matter woul;d greatly be appreciated.
