New Clean Install but w/ Upgrade CD

I upgraded from Windows 98 to Windows XP using the retail version of Windows
XP Upgrade. I'm updating my hardware and would like to take this
opportunity to just do a format and clean install from scratch. Problem is,
I no longer have my old Windows 98 media.

1) Does this matter? Will the installation routine just look at the
existing XP on the drive before it formats it and use that as confirmation
of upgrade eligibility?

Also, I have two partitions on the hard drive. The main partition, which is
the one I want to format and re-install XP over; and a second partition with
data files and back-ups only.

2) Will the install leave the second partition alone?

Tj, it's my understanding that in order to use the XP Upgrade CD to do a
clean install you have to have the
OS CD you are upgrading from.
http://www.michaelstevenstech.com/cleanxpinstall.html Below is
taken from Michaels cleaninstall site.
You will need to have a qualifying Win98/Me/2000 CD to insert if you are
using an upgrade version of XP to clean install. OEM restore disks will
usually not fulfill the qualifying requirement. If the restore disk has a
i386 folder, it will usually work.
