connect one pc (XP) to the phone line in the usual way.
connect the two boxes together with a CROSSOVER cable
(I'm assuming both machines have network cards installed)
set both machines to obtain an IP address automatically
(network connections/right click local area
connection/properties/general tab/TCP-IP/properties)
Now right click on your dial up connection in "network
connections"/properties/advanced tab and tick the box
for "internet connection sharing"/allow other users to
connect through this connection
