Netwaiting.exe - Security threat or ???

I booted up this am and my HD kept running and
running. I looked in the
processes and saw at the top of the list
"Netwaiting.exe" running and me
as the User Name. It kept running and running but
I was doing nothing
on the PC. So when this happens it makes me
wonder if there is spyware
or ??? doing something in the background. Quite
often I'm doing nothing
on the PC and I look down and hear and see my HD
light flashing as it
is doing something without user in put.

I have a Dual Core / Win XP Pro / 1gb mem

Thank You. I looked at a site Google came up with
regarding this
file but it didn't give such a complete
explanation. I'm going to save
this site for when I want to know what's running
and why. Seems as
though Vista is always running something in the
background. Makes
one wonder what's going on and why where you're
not even doing
anything on the computer.
