msxml4.manifest

My Encarta 2004 isn't working, so, I went to repair/uninstall/re-install it.
All attempts resulted in an error with the file msxml4.manifest not being
accessible. I couldn't delete it, rename it, copy over it, or move it. How
can I re-install Encarta, if I can't get past this one file? Thanx!
 
MS replaces their software CD's for a few bucks.
