How do I create an .msi file to automate an installation
of SP3 on my network?

I am currently running a Win2K Domain.
Most clients are running Win2K Pro.

You don't create one. Extract the service pack to a network share with the
"-x" switch and look in the resulting i386 folder for the Update folder
which contains an Update.msi which can be deployed by Group Policy.
