mountmgr.sys corrupt on upgrade from 98

I'm trying to upgrade 98 to XP Pro - after the first
restart a message appears indicating that the file
montmgr.sys is corrupt and the install fails. I can reboot
to 98 but can't get past this point - any ideas?
