modem prevents computer from going into standby mode ?

I'm using XP SP2 and IE7. My computer won't stay in standby mode when my
modem is on . It cycles in and out. When I powerdown the modem the standby
function works fine. Any suggestions on how to fix this ? Thanks.

Is Wake-on-LAN enabled? Check your network card's Properties in Device
Manager. Disable W-o-L...if you're a home user you shouldn't need it.
