modem preventing standby mode from functioning

I have Windows XP SP2 and IE 7. When my modem is on my computer will not
stay in the standby mode. It goes into standby OK but then cycles on and
off. When I disconnect the power supply (to the modem) standby works fine.
??? If anyone has a fix for this please advise. Thanks.
