Migration of NT 4 and Ex 5.5

It is purely migration - We have two exisiting server
with PDC and BDC in NT 4 (BDC has Ex. 5.5) (Which will be
crap after successful migration).

We purchase two New Hardware Servers - we want to install
Windows 2000 on both Servers -
First Sever Need to Migrate - User and Group to new W2000
Server.
Second Need to Migrage - Exchange 5.5 to new Excahagne
2000 server.

Appreciate your help.
