Migration from Novell Directory Services

We have an mixed environment - Novell NDS/win2k and windows 2003 servers. No
domain present. We would like to migrate to an Windows 2003 AD structure
along with migrating from Novells Groupwise 5.x to Exchange server 2003.

What is the best strategy to complete this task?
