Maxkernl.dll install in Windows XP

I am trying to get my scanner to work with Xp. I
downloaded a driver from manufacturer that is compatible
with Win2000. I used Compatibility Wizard to load
program. It seemed to run but at the end it requested a
Maxkernl.dll. I downloaded the .dll and was informed that
this file goes into system32 folder. My question is ...is
this Maxkernl.dll file compatible with XP? Will it cause
problems if loaded? Also, if compatible, what subfolder
does it go in? System32 folder has two sub-folders I386
and Windows. Thanks
