Kernel Trap

I am trying to install Win2000 Pro on my HP Pavilion
XE749. The computer is presently runnin Win98. And has a
Phoenix BIOS 4.0 release 6.0 version 3.07.

When I try to either upgrade the Win98 or a clean install
I get a "unexpected kernel mode trap" blue screen of
death.

How do I fix this?

I need the stop codes off of the BSOD. With these four codes, I can answer
