Is this legal?

I have 3 computers, I am selling the one with win98 on it and the disc, the
other two have winxp (the upgrade version, one for each system). I copied
the windows 98 disc so I have verification of another operatng system if I
ever need to reinstall XP

No. In order to adhere to the licensing requirements, you must not
use Windows 98 on another computer if you used the "upgrade version"
of Windows XP.

Read your Windows XP End-User License Agreement:

Start > Run and type: WINVER , and hit enter.

Also, open XP's "Help and Support" and type: EULA
and click on "Questions and Answers about the
End-User License Agreement".

"No. Because the original full version software and the upgrade version software
together are a single software program, you will need to retain the prior version in
order to establish your eligibility for the upgrade license."

Nope. In fact your message indicates you only legally own enough operating
system for 1 computer. You indicate you have one copy of Win98 and two XP
upgrades, that means Win98 and one upgrade on one computer, the other two
are illegal no matter what you do with them.

What could be "Legal" about it ?? It's not founded on any
law. it's just a one sided statement that you have the
choice of agreeing to or ignoring, I choose to do the

In order to have a legitimate license to use WinXP Upgrade on the
two remaining systems, you need to have one copy of a legitimate
license for a qualifying OS for each PC. It sounds, from your
description, like you have one legitimate copy of Win98 (which you're
disposing of) and no legitimate licenses for WinXP, at all. Keeping
an illegitimate copy of the Win98 CD _does not_ legitimize your two
pirated copies of WinXP.

It is not legit. Any Upgrade license needs a qualifying product to
support that license - and that means its own separate, and not copy CD.
You are in breach already by having used the 98 CD that belongs to
machine A in order to install upgrade XP on B and C
