Intermittent lockup on boot after upgrading to XP Pro

Upgraded PC from Windows ME to Windows XP Professional
because of typical ME freezes and glitches. Installation
took many attempts and would not install properly. For
testing purposes, reinstalled WinME - procedure took place
without a glitch. Reformatted drive for XP Pro.
Installed hard drive in another machine and installed
Windows. Returned hard drive to original machine.
Installed various other programs without errors.
Quickbooks would not install. Returned hard drive to
other machine and installed QuickBooks. All programs seem
to operate properly. When PC is shutdown and restarted,
PC will freeze in one of two locations: after BIOS post
screen stays black, no drive activity heard but LED
illuminated. Several resets will usually bring the PC up
to desktop. The other location: just as the Windows XP
boot begins to fade in, system will lock. Must be powered
off and back on. System runs fine when it makes it into
Windows. Ran WD drive test utility - passes. Ran Windows
Memory Diagnostic Utility - passes. Removed all unneeded
PCI devices and IDE devices - still same. Swapped MX400
AGP video card with PCI Cirrus Logic card - still same.
Swapped power supply with known good - still same.
Swapped RAM with known good - still same. Updated BIOS
with most recent from manufacturer's website. Verified
correct processor settings in BIOS. This problem is
intermittent. It may reboot several times with no
problem. Happens more often on a shutdown than on
restart. Is there a possible BIOS setting we are
overlooking?

Problem was solved by 'underclocking' the CPU. This is
done in the BIOS. Hope this helps the next person who has
trouble with it.
