Installing Xerox Printer driver

Just upgraded Win ME to Win XP. Now trying to install
drivers that I downloaded from xerox.com. (The CD does
not have XP drivers on it.) Device is Xerox WorkCentre
XK35c. All appears to go well until "Spooler
SubSystemApp has encountered a problem and must close".
The error message that got sent to microsoft included:
szAppName: spoolsv.exe
szAppVer: 5.1.2600.0
szModName: Unknown
szModVer 0.0.0.0
Offset: 0000

Any Ideas??
