Installing Windows 2K on machines that previously had Windows XP

I know it's a pretty obvious answer, but my boss wants to
see an answer in writing. A number of Windows XP computers
were ordered for the office, but they are not compatible
with our server. The question is whether or not it is
possible to uninstall Windows XP and then install 2K with
the upgrade edition or do we need to purchase the full
version for systems without windows.

What makes you say it is not compatable with the server?
