installing an OEM version of XP Home

What would happen if I tried to install an OEM version on
XP Home over Win. '98 without reformatting the hard drive?

It wouldn't work. OEM versions need to be installed clean.
 
You cannot install an OEM version of Windows XP
over Windows 98. You would end up with a very
unstable system. What you could do is create a new
partition and then install Windows XP. You'll need
a third-party partitioning manager to accomplish this.

A good third-party partitioning program is Partition Magic 8.

You wouldn't have that choice. OEM versions can only do clean
installations. If you're trying to get it to do an upgrade, it
won't.
