Install OEM Restore over WinME

We have an unused, unregistered copy of an OEM WinXP Pro rescue / restore CD. What can I say. The PC it came with needed Win2000 on it for compatibility. Anyway, we want to upgrade another PC from WinME to WinXP Pro using this disk.
First, is it possible to do so without first whacking the entire hard drive? Second, will the install save all the settings and registry?
Thanks!

With any OEM disk, one can onlyu do a destructive installation...no upgrade.
You must backup important data and then allow the OEM to format and install.

You really can not do that.
The restore CD is licensed only for the computer.
It may not even install on another computer.

Bobby,

You missed the fact that it was a *RECOVERY* disc. You cannot use a recovery
disc on any other system other than the one it came with.

Greetings --

That OEM Recovery CD will work _only_ on the computer with which
it was purchased. This is a deliberate precaution taken by the OEM to
prevent the very act you're contemplating: software piracy. That OEM
WinXP is permanently licensed to the computer with which it was
purchased, and may not legally be transferred to any other computer,
under any circumstances.
