how to install xp over 98

I have a Compaq computer which has 98 on it. My friends'
computer died and instead of fixing it she got a new one.
She gave me her software for xp and the recovery plus
software for Compaq. How do I install this new software
on my computer? Do I just load them and they will replace
the existing software on my computer or do I have to
format c drive which I know nothing about. Mine is a
Compaq Presario 56k which is all I know about it.

You don't. By the tone of your message it appears that the version is a
recovery CD and OEM. You may *NOT* install it on your system - not only is
it a violation of the EULA - a recovery CD is designed for a specific system
and will *NOT* install on any other.

FWIW, 56K is the speed of your modem - not the model number of your system!

If you want XP on your system you will need to purchase a retail licence.

If you and your sister each ended up with a copy of XP, fine, but, you won't
be able to "Compaq restore" your sisters version to a different
PC -(different hardware setup). You'll need to install from the XP cd. If
she gave you the cd's that came with her new computer, you're in violation
of the "end user license arrangement," i.e. it's naughty to use that copy on
more than on PC.

You can't.

First of all, OEM versions must be sold with a piece of hardware
(normally a motherboard or hard drive, if not an entire PC, although
Microsoft has greatly relaxed the hardware criteria for WinXP) and are
_permanently_ bound to the first PC on which they are installed. An
OEM license, once installed, is not legally transferable to another
computer under _any_ circumstances.

Secondly, Compaq CDs are BIOS-locked, and will only install on the
PC model(s) for which they were designed.
