HD or MB problem???

Hi,

Since yesterday evening I have noticed that my (933MHz P3, 512MB RAM, 40GB
C: drive, 500MB D: drive) Win2k PC will occasionally freeze with the HD
light constantly lit (not flickering). Initially, I thought that it was due
to some background task like Norton AV updating itself but it seems to be
happening more frequently.
I have a dual boot configuration (Win2k/Win98SE) with Win98SE on the D:
drive and when I boot into Win98SE mode I don't notice the "freezing" and
the HD light does not stay on.

So, here are my questions:
1) Is it likely to be the HD or the motherboard that has failed
2) If it is the HD and I buy a new one and install it as drive E: say, can I
boot up in Win98SE mode, do a complete C: drive transfer to the new HD (E:).
If so, what software do I use to do this? Will it transfer all the Windows
updates etc? Since I'll be doing this in Win98SE mode, is there an issue
with the size of the hard drives (eg suppose the new drive is 300GB)?
3) If it is the MB can I just swap MB's or do I need to do anything special?

By the way, I initially thought that it was a virus problem, so I booted up
in "Safe Mode" ran Ad-Aware, but that froze (coincidentally, it had found 2
suspicious items). I had planned to defrag the C; drive but I wanted to post
this question before doing so.

Any help or suggestions would be appreciated.

If you use Acronis True Image their cd is bootable - to clone the drive.
Occasional freeze can be caused by hd or memory prob.
Use the hd manu checking utility, available on their web site.
Test memory with memtest86+
