Frequent Lock-Ups

I have Win2K,  5.00.2195, Service Pack 2.  I've observed frequent
lock-ups, freezes etc of the Operating System.  It's not unusual for
multiple freeze-ups within a few minutes; conversely, I can
(sometimes.... rarely) go all day w/out any lock-ups.

One thing I did do was change the screen saver setting to "none", as it
sometimes locks up while the screensaver was going (standard OS
screensaver). Since then (about 24hrs worth of time passed), there has
been only 1 freeze-up. Puter was on all day today and it never locked.

Downloaded SP4. Closed all programs and disabled both virus checkers (as
per the instructions at the MS website). When I begin the install, I
keep getting this message which does not allow me to complete the
install:

"File c:\winnt\system32\tftp.exe is in use by another application. Close
all other applications and then RETRY."

But nothing else is open ....so I'm stuck in an endless loop.....
advice?
