File Open error

Does anyone knows how to tell what is keeping a file open? I have this problem on Win2K Server and also on a XP Pro station I try to delete some files or even rename the files and it the systems says that the file is in use. No matter what, I can't find out what is using the file. Is there a program that can tell me?
