Fatal error when trying to load Windows XP Home on reformatted dri

I get the following error message when attempting to reload Windows XP Home
on a Gateway laptop. I had to reformat the hard drive to reinstall.
STOP 0xC000021a (Fatal System Error)
The Windows Logon process system process terminated unexpectedly with a
status of 0xc0000354(0x00000000 0x00000000).
The system has been shut down.

Carey, I did an In-Place upgrade 3 times and kept getting an an error message
that reads: lsass.exe-system error
An Invalid Parameter was Passed to a Service or Function.
Can you help with that?
