Error: FEFF58h while determining compatibility

I am running w98 (not 2nd edition). I have the upgrade to
xp pro and am attempting to run the utility to test
compatibility. The utility hangs when it is run from the
upgrade CD. It hangs while checking software program
compatibility.

I downloaded the most current version of the utility from
the microsoft website and get an error FEFF58h. I get the
error message while it is building a database, prior to
checking software programs compatibility. The message
says " contact microsoft techincal support".

It never gets to the point of writing the upgrade.txt file.
