Curious Computer Freeze Problem

I'm having problems with a computer freezing, has been doing this for
the past few weeks, running Windows 2000 (but also errors under XP).

Here's the system message I get at the BSOD:

Driver_IRQL_Not_Less_or_equal
Address BFF8COEZ Base at BFF840000
Datestamp 38co59e4 - atapi.sys

I've tried replacing the memory with brand new memory, using a different
video card, using a different CDROM, taking out the ethernet card and
running without it, I'm at a loss!

I don't have the computer in front of me, so I can't give detailed
specs. It's a 700MHZ AMD Duron with 256MB Kingston RAM, tried with both
ATI Radeon and an NVidia GeForce 4 card, motherboard is one of the
lesser brands, as I recall, MSI or FIC as I recall. Any thoughts?

Run memtest86 overnight: http://www.memtest86.com/

If you don't see any errors, try this:

One more thing to try, lower the FSB of the board.
