Change domain name and servers

We are upgrading the disk controller on our server, and
so need to reload them. We have also been tasked with
renaming our domain name and server as a reflection of a
change in company name. On that one server we have Win2k
AD and all the bits that go with it, and we have
Exchange2k.

I am building a second server to act as another domain
controller.

What is the easiest way to create a new domain, and
migrate everyone to it, keeping their passwords and email?

Big job I know, but we are growing and need to plan for
the future. This is what happens when small companies get
bigger - even multi-national.
