My cd-rw will not work if i go to my computer the cd-rw
is not there but if i go to Device manger it is there
witha ! in yellow. The properties of the cd-rw it say
Windows cannot load the device driver for this hardware.
The driver may be corrupted or missing. (Code 39) what
can to fix this problem? I im rining windows XP.

Use device manager to remove the CD-RW, reboot and it will
be discovered as "new" hardware and the drivers will be
installed.
