Cant Shutdown System!?!

This is my first build. What happens is that 10 secs to 2 minutes after
shutdown my system powers itself back up. It only stays powered down if,
after I
shut down Windows, I also power down at the power supply switch on the
back of the case for at least 10-15 secs. Anyone know why this could be?

Here are specs/settings:
AMD 3200+ (stock timings)
MSI K8N neo4
CMOS/BIOS: Phoenix Award BIOS ver 1.1
CMOS Hardware monitor settings:
ACPI Standby State: S1(POS)
Power Button Function: Power Off
Restore on AC Power Loss: Off
Wakeup Event Setup: (all options disabled)
Winxphome sp2
ATI x800xl
Antec Truepower 550 (20-pin)
Western Digital WD800JB 80mb

BTW, I've already turned off the "Automatically Restart" option in the
Startup and Recovery area of System Properties (I really hoped this was the
cause!)

any ideas?

Yep. Turn it back on, and then hold in the power switch
on the front until it goes off. That will set the default off
for Windows.

Powering down from the 'mains' and 'reboot on power outage' is enabled,
turning off the switch in back of the PSU simulates a power outage and the
system reboots.

Check in BIOS for wakeup events and disable all you find, eg. Wake on
Lan, modem, etc.
