Cant install XP pro on new system

last night I tried to install XP Pro on the new system
that I am building. I received the following error (BSOD)
during the install:

Session3_initialization Failed
Stop: x0000006f (0c0000020, 0x00000000, 0x00000000,
0x00000000)

System info:

Asus P4P800 MB
(2)256MB DDR 3200 memory
Maxtor 5T020H2 20 gb hard drive (C
Hitachi Deskstar 160 gb hard drive
Artec 16x-DVD rom
Liteon dvd +/-R, +/-RW
1.4mb floppy

Mike, do you have a Retail Version of XPpro? If it's OEM it won't work
on your new system.

I have a blue retail upgrade box but it doesn't ask for
the upgrade from program.
