If you have HPFS or NTFS, you need to create an MS-DOS partition to set up windows. How do I create a FAT32 file system insead of NTFS. The hard drive is a Seagate U series 40 gig ULTA ATA. M/N: ST340823A S/N:6EF00B54

You can setup windows directly from the CD, it is bootable.
It does not require a fat32 partition.

Though if you only have an OEM supplied CD that may not be the case
