Can't access control panels

Whenever I try and click on a control panel icon, i get this message. I'm running XP home edition (upgraded from 98se). Any ideas? "Rundll32.exe is not a valid win32 application"
 
Create a new user account and than let me know that with new user account you are getting same error or not.

I can't create a new user, when I click on "user accounts" under teh control panels, i get the error message.
