Cannot upgrade to WinXP HE

I'm trying to upgrade a Win98SE PC to XP Home Edition.
The PC is a P4 1.5GHz system with 256MB RAM and a 40GB HD (with 32GB free).
Should be a good candidate for an upgrade.
The compatibility test shows no show stoppers.

When I attempt to upgrade, I get:
Setup cannot continue. Contact Microsoft technical support
(error: 5BEFF58h)

I tried to email MS tech support, but they require the product code from the
installed OS.
Since I can't install it, I can't get the product ID.

I tried installing from the CD drive, and copying to the hard drive and
installing from there.
Same result.

Any suggestions welcome, thanks.

The code should be on the disk label and the box that it
came in

I appreciate the reply, but that is the product key, not the product code
they are looking for.

I started in safe mode and installed from the hard drive, and it worked.
