Cannot install XP Home upgrade, missing .dll file

Hello,

I attempted to upgrade my operating system from WIN 98SE
to WIN XP Home, this is a legitimate upgrade as dictated
by the Microsoft website. I immediately get the following
error message:

Windows cannot find: 1386\WIN9XUPG\W95UPG.dll


I have searched my restore disk and the internet for this
file and cannot seem to locate it, can someone please help?

This is on the Windows XP CD

Is it scratched in any way? Or dirty?

You say 'restore disk'. This sounds like some OEM disk that came with a
machine or was bought with a piece of hardware. Such disks will *not*
do upgrades (and if it has been once installed on a machine it is
breaking the license to try to install it on any other machine anyway)
