If this is to a different machine, you need a network between them, and
just transfer files over it. Having different file systems in use is
not relevant, that only affects how they are stored, though you would
not be able to store any NTFS 'metadata' like access permissions. Or
transfer via CD, in which case you have backed them up in the process.
If it is a Windows 98 on the same computer, you should be able to see
the HD from the XP and just copy them across

yes, indeed, i mean between different computers. can't i use a cable instead
of a nettwork?? i don't have a cd- burner. that's the flopside of it.

or do you by network also include cableing???

A cable would need to be a crossover one between parallel ports
9'Laplink type') (or maybe a rather more expensive, but faster,
interconnect of two USB ports). You set those up in XP to *be* a
Network. In Control Panel - Network Connections, take Create a new
connection, then use 'set up an advanced. . .' and in that 'connect
direct' then check Direct parallel and carry on. You will need to
choose an account and then have a logon at the other end to match it.
Usually the wizard will make a floppy to assist in setting up on the
other machine
