Agere Systems update fails

My update for the Agere System-Modems-AgereSystems PCI Soft Modem keeps
trying to download, but it continuously fails. I am connected to the
internet by cable, but don't know how to stop this particular download
"notification". Can anyone help. I am extremely new to XP, so please "talk"
in layman terms....thanks

Where is the notice coming from? It might help if you would quote it and the
resulting error messages.
