Add new 2003 DC

I have a doman with two windows 2000 DCs. I want to move to win2003. I was
thinking of adding a member server 2003 and then running dcpromo on it.
After setting it up as a backup, transfer the FMSO roles and GC to it. Then
take the old DCs offline, and add aother win2003 DC as a backup DC.
Is this the right way of doing this. I can't upgrade the old DCs because
they are really old.
