A7V333 crashes after swap to 2400+

I have a machine built on an Asus A7V333. I had been running an 1800+
and it was working great. I got a new 2400+ as part of a MB/Proc
package deal at Fry's. I built a machine for my son using the old
1800+ and new board and put the 2400+ into my A7V333. Now my computer
boots fine but crashes after a short time. It goes into safe mode
with the message: "Windows detected and recovered from a device
failure..." If I set the CPU/PCI frequency manually to below 130, it
seems to be more stable and I haven't had a crash at below 125.

The particulars:

3 X 256 mb Crucial 2100 CT3264Z265 RAM
BIOS Ver. 1018.001
Processor: AXDA2400DKV3 266MHz FSB (An old one?)
Windows XP Pro
Processor Temperature 48C-56C

BIOS settings:
CPU Speed... 2000
Freq. Multiplier... 15X
PU/Memory ratio... Auto
Vcore Setting... Auto

I thought the problem might be the power supply, so I replaced it with
an Antec 400W but still have the same problem. Other than the
processor and PS, I changed nothing in the machine. I'm wondering
about manually increasing the Vcore voltage, but am not familiar with
tweaking that setting. Any other thoughts?

The K in the part number means CPU voltage should be 1.65V. If the
temperatures you mention are at idle and not load, the problem is likely
heat related.You might try reseating the heatsink with fresh thermal paste
or a thermal pad. Also, do you have any case fans ?

I neglected to mention that those processor temps are at a room temp
up to 88F. It's really hot here right now. The 48C is more usual in
the morning, I got the 56C running the burn in wizard in SySoft Sandra
in the afternoon. Those temps are in line with those I had with the
old 1800+ proc. I do have two case fans.

I wonder about the voltage. Sandra reports a Vcore voltage of 1.72V,
but in the BIOS the "Auto" setting shows a greyed 1.65V.

I also wonder if it may just be a bad processor. If so, I need to
find out within 13 days to return it.

You have one stick of ram too many on your mobo.
Two sticks of single sided ram only and it will be ok.
Your cpu should be a Thoroughbred-B.

I don't believe that is correct for this motherboard...it can run double-sided
memory sticks.

My manual indicates that "These sockets support up to 3GB system memory using
non-ECC 200/266/333 DIMMS". It goes on to say,
"Three (3) sockets are available......to forma memory size of 64 MB to 3 GB".
Since the board only supports up to 1 GB modules, then you can run with all
three slots at the same time.

The manual goes on to say that "DIMMS with more than 18 chips are not supported"
this indicates that it does in fact support double sided memory. I currently
have 2x512 MB PC2700 memory and have been running my system like this for about
15 months now without any memory problems. Oh, and guess what? They are
double-sided.

The bottom line is that the board is advertised to support double-sided DIMMS
and is capable of using all three slots.

Update:

Update...

I'm pretty sure it's the processor. I tried "downgrading" the BIOS to
1017 with no result and then I swapped the 2400+ into the computer
with the board that came with it in the bundle and that one wouldn't
even boot. I'll trade it in for another and post back.
