WinXP Computer fails Windows Genuine Validation

I've got a WinXP Pro SP2 computer that used to be my brother's, he had built it himself
and is solid. He did not give me a windows CD.

The after failing windows genuine validation the computer fails windows update and says
that the windows serial number is blocked. Windows update gives me the option to pay
about $140 for a license, but I figure why pay $140 for a license when for a few dollars
more I can buy a CD of Windows XP pro?

Can I just buy a Windows xp pro CD and use that serial number? How do I change the
serial number?
