unable to install win xp

I have been trying to perform an in-place-upgrade of
windows xp home edition, and it stops with the following
error:

Setup was unable to start service because of the
following error:
Openservice(tabsrv) returned error 1060(424)


Any help in resolving this issue without reinstalling
windows in a clean enviroment is much appreciated.
