System Error Message

I'm trying to re-install a program from a CD and I keep
getting the following System Error message: The Win16
Subsystem was unable to enter Protected Mode, DOSX.EXE
must be in your AUTOEXEC.NT and present in your PATH.
I've searched my system and the DOSX.EXE is in the
C:\WINDOWS\SYSTEM32 folder. The AUTOEXEC.NT is also in
the same folder. I've had this program installed on my XP
Pro system before with no problems, but now it won't let
me install it again.
Any help sure would be appreciated.
