I think forums are great place to learn how to setup things in test
environments, but not so good for setting up production environments. We
can't see what is behind the scene of you network.

Well as far as Exchange goes,

Install Win2K3, Install IIS, SMTP, NNTP, ASP.NET (or Exchange installation
will fail). Extend the Active Directory Schema with /forestprep and
/domainprep (insert Exchange 2003 CD in domain controller that is also
schema master -- recommended. run exchange setup from command line with
/forestprep switch. Once this task is completed run again Exchange setup
with /domainprep).
Once this is done, wait for the replication of schema changes to occur.
After this is done install Exchange your first Exchange server.

I can't give you much further instructions, since you haven't told us what
active directory you have (Win2K or Win2K3) neither did you tell us if you
have any existing Exchange in your organization...

Know your product (in this case Exchange) or your users won't be happy --
which means you won't be happy.

Hi - in addition to the other reply, note that Exchange and AD are
complicated and if this is not for a lab/testing, you really might want to
engage a consultant to set it up & show you how to do the regular admin. A
badly set up Exchange environment is probably worse than no Exchange at all.
